The online shop www.starnet-world.com is opened only for the professionals, which activity is related to lingerie, shoes, swimwear, dresses and all the articles distributed by Starnet,
In reference to the reseller.
Resellers can be physical shops, internet shops, door to door or in the meetings, mail order companies, etc.
This Terms and Conditions apply exclusively the sales of the articles proposed on the website www.starnet-world.com. These conditions apply to the exclusión of other conditions.
ARTICLE 1 - PRICES
1.1 - Our products’ prices are indicated in Euros, exclusive of tax without considering handling and shipping costs. The price "all taxes included" appears in the shopping cart for European customers who have not provided their VAT registration number.
1.2 - Any order, whatever its origin is due in Euros.
1.3 - Starnet SAS reserves the right to modify its prices at any time but products will be charged according to the operational rates at the time of the order.
1.4 - Retention of title clause: products remain the property of Starnet until they are completely paid.
ARTICLE 2 - ORDER AND CONFIRMATION
On the official Internet site of Starnet www.starnet-world.com, every product comes with a picture.
A zoom is possible in order to obtain a detailed view of the product.
The contractual information is provided in English and will be confirmed in the order’s waybill.
Starnet reserves the right to cancel any order placed by a customer with who it would exist a payment issue linked to a previous order.
Any order placed on the website of Starnet www.starnet-world.com, assumes the customer’s approval to the current Terms and Conditions, without exception. Those arrangements, readable from the home page of our website thanks to a hypertext link, are available at any time.
On the website www.starnet-world.com, the order validation process, after successive data seizures, allows the customer to make possible changes in the order before its final summary and definitive registration.
When you click on "Confirm your order", after the order process, you declare to accept it fully and without reserve as well as the whole current Terms and Conditions.
The data registered by Starnet constitute the proof of all the transactions made between Starnet and its customers.
Once the order is placed online, an order number is assigned to the customer. From the definitive online registration, the order is considered as firm and can no longer be modified nor cancelled.
Any accepted order can only be dissolved in the following cases:

By Starnet :
1/ When instead of an order confirmation, Starnet sends by fax or mail (letter or email) a notice of receipt to the customer, informing about the unavailability or the disappearance of a product ordered.
2/ In case of an invoice unpaid in spite of a formal notice, or in case of material repossession as a retention of title.

By the customer :
1/ When the notice of receipt sent by Starnet offers a change in the initial order substituting other products and/or services. In this case, the customer has to accept expressly the substitution within 48 hours; in absence of answer, the new offer would be considered obsolete and the order would be cancelled.
2/ In case of not answer the formal notices to deliver or to carry out over 30 days.
3/ In case of a revocation in a legal deadline.
A pro-forma invoice is automatically issued from the order confirmation.
The customer can print it. The definitive invoice will be sent by email when the product is shipped.
ARTICLE 3 - AVAILABILITY
The replenishment lead time of unavailable items varies according to each provider of Starnet. The stock level of Starnet is managed and displayed in real-time, allowing the retailer to easily control which items are available.
Exceptional errors or changes are beyond Starnet’s control and cannot commit it selves. In case of an unavailable item stated in stock right after your order is placed, we will let you know by email or post as soon as possible.
ARTICLE 4 - DELIVERY
4.1 - Generality
The products will be delivered to the delivery address indicated by the Customer once the order is placed. The indicated lead times represent an average and include handling and delivery. Starnet would not be blamed of consequences due to a delivery delay.
4.2 - Delivery Issues
The Customer has to check the conformity of the delivered goods at the time of the delivery, before signing the delivery order. You will then have to handwrite on the delivery order any anomaly noticed regarding the delivery process. You will also have to inform the carrier at the latest two working days after the delivery of the good(s) and send a copy of this letter to Starnet:

If the products need to be sent back, it needs to be done by the 7 working days after the delivery. Any claim made after this deadline will not be accepted. The return will only be accepted if the product is in its original state and packaging.
4.3 - Conformity and quality
Starnet promises to give a refund or to exchange the products which do not correspond to the Customer’s order, provided they are defective or do not correspond to the request made. Customer must report via email, phone, fax or regular mail, the date of delivery or at the latest during the next two working days from receipt of order, all claims related to items that do not apply to his order.

Your complaints must include the Customer’s data, the delivery order number, the product references appearing on the delivery order from Starnet and the reasons of your complaint. Any complaint made out of this deadline will not be accepted.
Starnet will deal with the exchange or the credit note of the product(s).
Any return will not be accepted if the Customer erred when he made his order. The return will be accepted only if the product is complete, in its original state and packaging with a return authorization made by Starnet.
ARTICLE 5 - PAYMENT
Starnet accepts different ways of payment. Every Customer has different proposals available online.

Starnet reserves the right to impose or limit the available ways of payment according to the Customer’s history as a payment incident or for any new account.
ARTICLE 6 - RETURN / EXCHANGE
6.1 - The Customer has a legal deadline of 7 working days from the delivery to return the item(s) with a manufacturing defect.
Starnet will not accept any return for any other reasons than a manufacturing defect.
In order to process any return, first, the Customer will have to apply online via his/her Customer Area by selecting the corresponding items and providing the needed information. The Customer Support will then send a return authorization to the Customer. This authorization will need to be printed and attached to the package returned, fully filled with the reasons of the defect, the product chosen to be exchanged, a credit note or a refund.

The current return will only be accepted if the products come complete, in their original state and packaging and with the return authorization provided to the Customer.
Items coming back incomplete, damaged, destroyed, dirty or outside their original packaging will not be accepted.
6.2 - Starnet promises to deal with the Customer’s request in an inferior or equal 15 day deadline after receiving the manufacturing defect goods. In case of a refund, Starnet will credit the amount either to the credit card account used in the initial payment by the Customer or making a credit to the Customer’s private account.
6.3 - No cash on delivery will be accepted no matter the reason.

ARTICLE 8- INTELLECTUAL PROPERTY
All the texts, logos, comments or images that appear on www.starnet-world.com
are hold by authors’ rights as well as intellectual property in the whole world. As a consequence and in accordance with the Intellectual Property Code measures, the use of comments, logos or images is allowed only for a private use subject to different dispositions, even more restrictive than the Intellectual Property Code. Any other use constitutes counterfeit and is punished by the Intellectual Property, unless previous authorization given by Starnet.
Any total or partial copy of the catalogue of Starnet is purely forbidden.
ARTICLE 9 - LIABILITY
The suggested products comply with the French legislation in force and with the applicable norms in Europe. Pictures, texts, informational or descriptive graphics that are reproduced to illustrate the displayed products are not contractual. As a consequence, Starnet will not be liable for any errors and omissions in any of those pictures, texts, information graphics or products’ features or in case of modification of the product’s features by the suppliers.

Starnet will not be liable in case of a stock break or product unavailability, force majeure, breakdown, total or partial strike of the Postal Services and means of transport and/or communication, flood or fire.
Starnet will not be liable for any indirect damages from the current agreement, business concern loss, benefit loss, opportunity loss, damages or fees that would occur from the purchase of products. The total or partial impossibility to use the products for material incompatibility shall not cause any compensation or refund or accuse the liability of Starnet.
ARTICLE 10 - GUARANTEE - MODIFICATIONS
All the products sold by Starnet are guaranteed to be free of manufacturing defects. Defective products must imperatively be returned at Customers’ expense for a correct review to determine the validity of the complaint. In order to enjoy the products’ guarantee is necessary to keep the invoice and send back the return authorization provided by Starnet.
ARTICLE 11 - MARKETING POLICY
The resale of items of brands marketed by Starnet is subject to the marketing rules in the European territory. Any company, firm or person selling one or more of these marks commits itself to strict rules; offenders will see their commitment broken without notice from Starnet.
Eventual offenders would be sued to the competent courts.
The commercialization of Starnet marketed brand is forbidden via the following channels of distribution:
- Any kind of auction websites.
- Any street markets.
After analyzing the reseller’s means of commercialization, Starnet also reserves the right, at any time, to allow or refuse the reselling of Starnet marketed brands items.
In any event, Starnet will apply the measures judged as most appropriate in order to protect the professional ethics, the reputation and the development of brand products it markets, and even in case of an excessive law price resale.
ARTICLE 12 - DISTRIBUTION AND IMPORT EXCLUSIVENESS and TRADE MARK LICENSE
Starnet owns exclusive contracts for distribution and import of marketed brands in each country where it operates. For this reason, Starnet clearly indicates its exclusivities on all its means of communication, in order to inform the reseller. Any reseller of marketed brand has fully knowledge of those exclusive rights and accepts all the consequences.
Thus, each reseller living in each country where Starnet is present, recognizes being unable to procure brand marketed by Starnet, only from Starnet, and to the exclusion of any other company or individual, regardless of country of residence or business.
ARTICLE 13 - RIGHT TO USE OF IMAGES, LOGOS, PICTURES AND OTHER MEDIA COMMUNICATIONS
Starnet owns an exclusive license to use the trademarks that it markets to all countries where it operates. Therefore, Starnet reserves the right to control, authorize, or prohibit the use of one or more brands (names, images, logos) in territories where it is present, without any restriction, to any time, to anyone.
Starnet has a legal unit responsible for ensuring healthy and strict enforcement of its contracts and these Terms and Conditions.
When Starnet validates the creation of a reseller account and that purchases related to this account are made on the site www.starnet-world.com, Starnet which holds the intellectual property rights of exclusive brands it represents, grants to the account holder a right to use images logos, images and other media to the following conditions:
- Those communication media should only be downloaded in ZIP format on the Starnet website www.starnet-world.com from "Marketing Tools" section via the private access. Under no circumstances, the presentation images displayed on any kind site, including the site of one of the brands it represents, should be used.
- This right of use applies only to allow the reseller effective marketing of products of each brand on the media resale of such products: Internet Shopping, shop display, catalog mail order, etc... - Ce droit d’utilisation cesse pour chacun des
articles concernés, à compter de la dernière vente du dit article.
- This right of use ends for each item as from the last sale of the mentioned item.
- This right of use is valid on any websites except on auctions one. Example: it is forbidden to use the images and logos of Starnet on sites such as eBay.
ARTICLE 14 - REGISTERED INFORMATION
Starnet promises not to divulge to third party the information the resellers communicate. They are confidential. They will only be used by internal departments of Starnet only to deal with orders, and in particular for the “Newsletters” to which all resellers have subscribed. Starnet’s CNIL membership, under declaration slips n°1109741 and 1109744, guarantees a confidential use of data.
The Starnet website www.starnet-world.com is only thought to be attentive to resellers’ needs. This explains, among others, why Starnet uses cookies. The cookie’s aim is to report the resellers’ traffic on Starnet’s website. Therefore, cookies are used by Starnet only to improve our personalized service.
The current article would not prevent the activity cease or transfer to a third party.
Consequently, in accordance with the French law on data-processing and liberties of 6 January 1978, the reseller has the right to access as well as rectify and delete his personal information.

ARTICLE 15 - APPLICABLE LAW - DISPUTES
These Terms and Conditions are subject to French law. The language of these Terms and Conditions is the English language. By its signature, Reseller accepts all terms and provisions of these Terms and Conditions without exception or reservation. If one or more clauses or articles were being void or unenforceable, they would be deemed unwritten and all other provisions retain their value. In case of dispute, the Commercial Court in Toulon will have sole jurisdiction to the exclusion of all other courts to decide disagreements and contesting arising from these Terms and Conditions and / or after them, and this even in cases of appeal or plurality of defendants.
